Terms of Service
Effective 2026-10-14 · Last updated 2026-09-13
Version 2026-09. These Terms are a binding agreement between you and Fratelli Platform Inc.. Please read them carefully — Section 18 contains an arbitration agreement and class-action waiver that affects your legal rights.
1. Agreement to These Terms
These Terms of Service ("Terms") govern your access to and use of the Fratelli platform, including our websites, web and mobile applications, customer portals, APIs, AI features, and related services (collectively, the "Service"), operated by Fratelli Platform Inc. ("Fratelli," "we," "us," or "our"), PO Box 2013, Rancho Mirage, CA 92270, USA.
By creating an account, clicking "I agree," or using the Service, you agree to these Terms, our Privacy Policy, Acceptable Use Policy, Payments Terms, Refund Policy and, where applicable, our Data Processing Addendum, each of which is incorporated by reference. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
If you do not agree, do not use the Service.
2. Eligibility & Business Use
The Service is a business tool. You must be at least 18 years old and use the Service only for business or professional purposes. You may not use the Service if you are barred from doing so under applicable law, or if you or your business appear on any U.S. government sanctions or denied-parties list.
3. Your Account and Your Team
- Accuracy. You must provide accurate, complete, and current registration and business-identity information and keep it updated. We may verify it and may suspend accounts that fail verification.
- Credentials. You are responsible for safeguarding passwords, passkeys, authenticator codes, and recovery codes, and for all activity under your account. Enable multi-factor authentication. Notify security@fratelli-app.com immediately of any suspected unauthorized access.
- Team members. The account owner may invite team members and assign roles and permissions. The owner is responsible for their team members' compliance with these Terms and for removing access when someone leaves. Seat limits depend on your plan.
- Account owner authority. The account owner (the person who created the business account or was designated as owner) controls the account, its billing, and its data. We will act on the owner's instructions and, absent a court order, will not adjudicate disputes between an owner and their team, partners, or co-founders.
4. Subscriptions, Trials, and Billing
- Plans. Features, limits (such as team seats, AI queries, emails, storage, and records), and prices are described on our pricing page and in your account. We may change plan features and limits prospectively; if a change materially reduces functionality you have paid for, you may cancel and receive a prorated refund of prepaid, unused fees.
- Free trials. Trials convert to a paid subscription when they end unless you cancel first. We will remind you before your trial ends. One trial per business.
- Billing. Subscriptions are billed in advance, monthly or annually, and renew automatically until cancelled. You authorize us and our payment processor, Stripe, to charge your payment method for all fees, applicable taxes, and any usage-based or add-on charges you enable.
- Price changes. We will give at least 30 days' notice before a price increase takes effect at your next renewal.
- Taxes. Fees exclude taxes. You are responsible for sales, VAT, GST, and similar taxes, except taxes on our income.
- Late or failed payment. If payment fails we will retry and notify you. Accounts that remain unpaid may be moved to read-only access and, after continued non-payment, suspended. Read-only access lets you view and export your data but not create or send new records.
- Cancellation and refunds. You may cancel anytime from Settings → Billing; access continues through the end of the paid period. Refunds are handled under our Refund Policy and Cancellation Policy.
- Lifetime, promotional, and partner plans are subject to the specific terms presented when granted and may not be transferred or resold.
5. Acceptable Use
You agree to comply with our Acceptable Use Policy. In summary: no unlawful, fraudulent, deceptive, or infringing activity; no spam or unsolicited bulk messaging; no malware, scraping, or interference with the Service; no circumventing plan limits or security controls; no reselling the Service without a written partnership agreement; and no use of the Service to process payments for prohibited businesses listed by Stripe or card networks. We may throttle, suspend, or terminate accounts that violate the policy and may report unlawful activity to authorities.
6. Your Data
- Ownership. You own the data you and your team enter or upload to the Service, including client, supplier, product, invoice, payroll, and document data ("Customer Data"). We claim no ownership of it.
- License to operate the Service. You grant us a worldwide, non-exclusive license to host, copy, process, transmit, and display Customer Data solely to provide, secure, support, and improve the Service, and as otherwise permitted by these Terms and the Privacy Policy.
- Your responsibilities. You are responsible for the accuracy and legality of Customer Data, for having the rights and consents needed to submit it (including your own customers' and employees' personal information), and for complying with laws that apply to your business, such as tax, employment, consumer-protection, and privacy laws.
- Export and portability. You may export your data at any time from Settings → Data & Privacy in standard formats (CSV, JSON, PDF).
- Deletion. When you delete your account we place it in a 30-day recovery hold, then permanently delete or anonymize Customer Data within 90 days, except records we must retain by law (for example, tax and payment records) or to resolve disputes.
- Aggregated data. We may use data about how the Service is used, in aggregated or de-identified form that cannot reasonably identify you or your customers, to operate, benchmark, and improve the Service.
7. Platform Support Access & Account Administration
Authorized Fratelli Platform Inc. personnel may access your account and Customer Data only for the following purposes: (a) responding to a support request you or your team initiated; (b) investigating suspected fraud, abuse, security incidents, or violations of these Terms; (c) diagnosing and resolving technical problems; (d) complying with law, legal process, or a Stripe, card-network, or banking-partner requirement; and (e) protecting the rights, property, or safety of Fratelli Platform Inc., our customers, or the public.
Support access is governed by strict controls:
- Read-only. Support "view as customer" sessions cannot create, modify, delete, send, or charge anything. Changes to your account are only made by you, or by Fratelli Platform Inc. through separately logged administrative actions (for example, applying a refund you requested or suspending an account for abuse).
- Time-limited and re-authenticated. Each session expires automatically after 15 minutes and requires the staff member to re-verify their identity immediately beforehand.
- Documented reason. A written reason is required for every session and every administrative action.
- Fully logged. The staff member's identity, timestamp, reason, and actions are recorded in a tamper-evident audit trail retained for at least 24 months.
- Visible to you. A record of each support access appears in your account's Security & Activity timeline.
- No card or bank secrets. Staff never see full payment card numbers, bank account numbers, passwords, or identity documents. Those are held by Stripe, Plaid, or Google and are only ever displayed in masked form (for example, the last four digits).
Separately from support access, our platform operations team monitors account-level metrics such as feature usage, resource consumption, error rates, payment disputes, and security signals to enforce plan limits, detect fraud and abuse, keep the Service reliable, and manage our costs. This monitoring is automated and does not involve reading the contents of your documents or messages except as described above.
We may take administrative actions on your account when reasonably necessary, including adjusting limits, applying credits or refunds you requested, pausing features that are being abused, or suspending the account under Section 14. Each action is logged with the acting staff member and reason. You can request a copy of the administrative log for your account by contacting privacy@fratelli-app.com.
8. Payments Processing (Stripe Connect)
If you enable payments, you can accept card, wallet, and bank payments from your customers through a Stripe connected account that Fratelli helps you set up. Payments are subject to our Payments Terms and the Stripe Connected Account Agreement, including the Stripe Services Agreement. Key points:
- Stripe — not Fratelli — holds and transfers funds and performs identity verification (KYC) required by law. Fratelli never receives your bank account numbers or identity documents.
- Fratelli charges a platform fee on each payment as disclosed in your account before you enable payments; Stripe's processing fees are additional and set by Stripe.
- You are responsible for refunds, chargebacks, disputes, and any resulting fees or negative balances on your connected account, and for fulfilling what you sell.
- We may pause payment acceptance for your account if Stripe or a card network requires it, if verification is incomplete or overdue, or if we detect a dispute rate or pattern that indicates fraud or excessive risk. We will tell you why and what is needed to resume.
9. AI Features
The Service includes AI-powered features (for example, drafting emails and documents, analyzing your business data, building customer-portal websites, and answering questions). AI output can be inaccurate, incomplete, or biased. You are responsible for reviewing AI output before relying on or sending it. AI features do not provide legal, tax, accounting, financial, or employment advice. Your prompts and relevant account data are sent to our AI model providers (currently Google) under contracts that prohibit them from training their models on your data. AI usage counts against your plan's limits. See our Privacy Policy for details.
10. Payroll, Tax, and Financial Tools
Payroll, expense, budgeting, and reporting features are tools to help you organize information you provide. They are not a substitute for a qualified accountant, payroll provider, or tax advisor. You remain solely responsible for the accuracy of your inputs, for tax filings and payments, for employment-law compliance (including wage, hour, and withholding rules), and for reviewing any calculations before use. Unless a specific filing service is expressly offered and purchased, Fratelli does not file or remit taxes on your behalf.
11. Third-Party Services and Integrations
The Service integrates with third parties you choose to connect, such as Stripe (payments), Plaid (bank connectivity), Google (Gmail sending, sign-in, Maps), Apple (sign-in), and your custom domain registrar. Their terms and privacy policies apply to their services. We are not responsible for third-party services, and connecting them is at your option. You may disconnect an integration at any time from Settings. Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
12. Customer Portals, Websites, and Your Customers
If you publish a customer portal, storefront, booking page, payment link, or website through the Service, you are the operator of that site and the merchant of record for what you sell. You must provide your own terms, privacy notice, and refund policy to your customers where required, honor them, and comply with consumer-protection, accessibility, and e-commerce laws. You are responsible for the content you publish. We may remove content or unpublish a site that violates our Acceptable Use Policy or the law. Fratelli's branding may appear on lower-tier plans as described in the plan details.
13. Intellectual Property
- Our IP. The Service, including software, designs, templates, documentation, and trademarks, is owned by Fratelli and its licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription in accordance with these Terms. You may not copy, modify, reverse-engineer, or create derivative works of the Service, or remove proprietary notices.
- Templates. You may use document and website templates within the Service for your business. You may not extract and redistribute them.
- Feedback. If you send us suggestions, we may use them without obligation to you.
- Trademarks. "Fratelli" and our logos are trademarks of Fratelli Platform Inc.. You may not use them without written permission, except to accurately describe that you use the Service.
14. Suspension and Termination
- By you. Cancel anytime from Settings → Billing. You may delete your account from Settings → Data & Privacy.
- By us. We may suspend or terminate your access if you materially breach these Terms, fail to pay, present a security, fraud, or legal risk, are required to by law or by a payments partner, or if the account has been inactive for more than 24 months on a free plan. Where practical we will notify you first and give you a chance to cure. In urgent cases (for example, active fraud, malware, or a legal demand) we may act immediately and notify you afterward.
- Effect. On termination your license ends. You will have at least 30 days of read-only access to export your data unless the termination was for fraud, illegal activity, or a legal requirement prevents it. Sections that by their nature should survive (including payment obligations, data ownership, disclaimers, limitation of liability, indemnity, and dispute resolution) survive termination.
15. Service Availability, Changes, and Beta Features
We work hard to keep the Service available and back up data continuously to geo-redundant storage, but we do not guarantee uninterrupted service. We may modify, add, or retire features with reasonable notice for material changes. Features labeled beta, preview, or early access are provided as-is, may change or be withdrawn, and may have separate terms. Our status page and in-app notices report incidents and maintenance.
16. Disclaimers
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, FRATELLI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT AI OUTPUT WILL BE ACCURATE, OR THAT CALCULATIONS WILL MEET YOUR LEGAL OBLIGATIONS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME MAY NOT APPLY TO YOU.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) FRATELLI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE FEES YOU PAID TO FRATELLI IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) US $100. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR OUR BREACH OF SECTION 7 (SUPPORT ACCESS) OR THE DATA PROCESSING ADDENDUM.
18. Indemnification
You will defend, indemnify, and hold harmless Fratelli and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) Customer Data or content you publish; (b) your use of the Service in violation of these Terms or the law; (c) your products, services, payroll, tax, or employment practices; (d) disputes between you and your customers, employees, or team members; or (e) your violation of a third party's rights.
19. Dispute Resolution — Arbitration and Class Waiver
Please read carefully.
- Informal resolution first. Before filing a claim, you agree to email legal@fratelli-app.com with a description of the dispute and give us 30 days to resolve it informally. We will do the same.
- Binding arbitration. Any dispute that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in Riverside County, California or by video conference. The Federal Arbitration Act governs this section. Judgment on the award may be entered in any court of competent jurisdiction.
- Class action waiver. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, consolidated, or representative proceeding. If this waiver is found unenforceable for a particular claim, that claim must proceed in court, not arbitration.
- Exceptions. Either party may bring an individual action in small-claims court, or seek injunctive relief in court to stop unauthorized use or abuse of the Service or infringement of intellectual property.
- Opt-out. You may opt out of arbitration by emailing legal@fratelli-app.com with the subject "Arbitration opt-out" within 30 days after first accepting these Terms. Opting out does not affect any other provision.
20. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Subject to Section 19, any court proceeding will be brought exclusively in the state or federal courts located in Riverside County, California, and you consent to their jurisdiction. If you are a consumer in a jurisdiction whose mandatory law grants you additional protections, those protections are not affected.
21. Changes to These Terms
We may update these Terms. For material changes we will give at least 30 days' notice by email and/or a prominent in-app notice before the new Terms take effect, and we will update the "Effective" date above. If you do not agree, you may cancel before the effective date and request a prorated refund of prepaid, unused fees. Continued use after the effective date constitutes acceptance. Non-material changes (such as clarifications or new-feature descriptions) may take effect when posted.
22. General
- Entire agreement. These Terms and the policies they reference are the entire agreement between you and Fratelli regarding the Service and supersede prior agreements. Any purchase-order or vendor-onboarding terms you send us do not apply.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets, with notice to you.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including outages of Google Cloud, Stripe, or internet infrastructure.
- Severability & waiver. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
- Notices. We may notify you by email to your account address or in-app. Legal notices to us must be sent to legal@fratelli-app.com and PO Box 2013, Rancho Mirage, CA 92270, USA.
- Export & sanctions. You must comply with U.S. export-control and sanctions laws in using the Service.
- Language. These Terms are written in English; translations are provided for convenience and the English version controls.
